Announcement of Resolutions of the 13th
Meeting of the 9th Session of the Board of Supervisors
The Company and all members of its board of supervisors hereby confirm that all
information disclosed herein is true, accurate and complete with no false or
misleading statement or material omission.
The 13th Meeting of the 9th Session of the Board of Supervisors of ADAMA Ltd.
(hereinafter referred to as the “Company”) was held via anon-site and video conference
meeting on April 25, 2024 following notifications sent to all the supervisors by email
on April 19, 2024. Three supervisors were entitled to attend the meeting and three
supervisors attended.
The meeting complies with all relevant laws and regulations as well as the Articles of
Association of the Company. The following resolutions were deliberated and adopted:
1. Proposal Confirming the Q1 2024 Report
After reviewing, the Board of Supervisors confirm that the preparing and reviewing
procedures of the Q1 2024 Report adopted by the Board of Directors are in line with
the requirements ofthe laws, the regulations, and the provisions ofCSRC. The contents
of the Q1 2024 Report are true, accurate and complete with no false or misleading
statement or material omission.
This proposal was passed with 3 affirmative votes, 0 negative votes and 0 abstentions.
2. Proposalon the Nomination ofNon-employeeSupervisorstoComposethe 10th
Session of the BOS

The Board of Supervisors reviewed and approved the nomination of Mr. Liu Jianhua
and Ms. Yuan Yuan as candidates to serve as non-employee supervisors of the 10th
Session of the Board of Supervisors.
This proposal shall be submitted to the 1st Interim Shareholders Meeting in 2024 for
deliberation and voted by means of cumulative voting system. After approval by the
shareholders, the above two candidates will constitute the 10th Board of Supervisors
together with the employee representative supervisor elected by the Employees’
Representative Congress of the Company.
The Company appreciates the contribution all members of the 9th session of the BOS
made to the Company during their tenure, and sincerely thanks them for their service.

announcement.
This proposal was passed with 3 affirmative votes, 0 negative votes and 0 abstentions.

Appendix - Profile of the Nominees of Non-employee Supervisor
1. Liu Jianhua
Mr. Liu Jianhua, Chinese, born in 1978, obtained a Ph.D degree in Biochemical
Engineering. He currently serves as the NonAg Business Manager ofADAMAChina.
He previously served as the GM Assistant of Hubei Sanonda Co. Ltd., as the COO of
Jiangsu Anpon Electrochemical Co., Ltd., and as the member of CPC Committee of
China National Agrochemical Corporation.
As of the date of this Announcement, Mr. Liu Jianhua does not directly or indirectly
hold any of the Company’s shares. Mr. Liu Jianhua has no relationship with any
shareholders holding more than 5% of the Company’s shares, the actual controllers, or
other directors, supervisors and senior executives of the Company.
Mr. Liu Jianhua has not been subject to any punishment imposed by the CSRC and the
SZSE and does not fall under any of the circumstances stipulated inArticle 3.2.2 of the
Guidelines of Shenzhen Stock Exchange on Self-discipline Supervision of Listed
Companies No.1: Standardized Operation of Main Board Listed Companies. Mr. Liu
Jianhua isnot ajudgement debtor subject to enforcement and meetsallthequalifications
set under the applicable laws and regulations.
2. Yuan Yuan
Ms.YuanYuan, Chinese, bornin 1980, obtained a bachelor degreeofinternationaltrade
from Zhongnan University of Economics and Law and a master degree of business
administration fromUniversityofInternational Business and Economics. She currently
serves as Strategy & Business Manager ofADAMA China. Before joining ADAMA，
she served as Deputy and Executing Director of Commerce Dept. in China National
Agrochemical Corporation.
As of the date of this Announcement, Ms. Yuan Yuan does not directly or indirectly
hold any of the Company’s shares. Ms. Yuan Yuan has no relationship with any
shareholders holding more than 5% of the Company’s shares, the actual controllers, or
other directors, supervisors and senior executives of the Company.
Ms. Yuan Yuan has not been subject to any punishment imposed by the CSRC and the
SZSE and does not fall under any of the circumstances stipulated inArticle 3.2.2 of the
